nBill Affiliate Programme Terms and Conditions

By applying to become an affiliate of www.nbill.co.uk, you agreeing to abide by the following terms and conditions. If you think any of these conditions are unfair, or do not agree with them, do not sign up as an affiliate!

• This affiliate programme is managed by Netshine Software Limited.
• Approval of affiliate applications is at the sole discretion of the programme manager. Approval may be granted or revoked at any time without notice or explanation.
• Affiliates are not permitted to use any of their affiliate links in unsolicted or indiscriminate e-mails, whether bulk or individual.
• Anyone suspected of spamming may have their membership revoked immediately.
• Anyone caught spamming may forfeit any commission they may have earned.
• Affiliates may only use approved links and banners published on the nBill website. Custom links and banners must be submitted to Netshine Software Limited for approval before they may be used.
• Affiliates are not permitted to make any untrue or misleading statements about the product(s) advertised.
• Affiliates are not permitted to publish their affiliate link on any page or e-mail that contains material that could be considered 'adult only', offensive, illegal, misleading, libellous, or abusive. Netshine Software Limited reserve the right to determine what material is considered inappropriate.
• Affiliates are not permitted to use any content from our website, including artwork and images, except for the banners that are published for that purpose. Excerpts of text from the nBill website may be used where appropriate to explain the purpose and features of the product(s) advertised.
• Affiliates are not permitted to make their site or any page on their site or e-mail appear to be operated by Netshine Software Limited, nor any other company that is not the actual publisher - it must always be made clear who the publisher of the material and link(s) really is.
• Affiliates are not permitted to use the copyrighted material of Netshine Software Limited nor any third party without written consent.
• Commission is paid as a percentage of the total amount of the sale, including VAT if applicable. If the affiliate is registered for VAT (or the equivalent) in their own country, it is the affiliate's own responsibility to pay the appropriate percentage of their commission to the appropriate government agency, if applicable. Netshine Software Limited's VAT number is GB 836979756.
• Commission will be paid into the affiliate's Paypal account only. No other form of payment is offered. Affiliates must have a Paypal account, and supply the relevant Paypal account e-mail address when applying, otherwise they will not receive any commission payments!
• Netshine Software Limited will not be held responsible for any loss or delay caused by any problems with the Paypal website. If any bugs, errors, or misconfigurations occur whilst attempting to make payment to an affiliate through Paypal, the commission might not be paid, and cannot be recovered from Netshine Software Limited except at the sole discretion of the programme manager.
• Data held about affiliates by Netshine Software Limited will only be used for processing your account and keeping our financial records. Netshine Software Limited will not pass on your details to third parties except where this is necessary to process your account or for legal reasons (for example, we may pass some of your data on to our accountants for processing our financial transactions, or to a government department that requests it, but we will not pass it on to another company).
• Affiliates do not have any rights over any content or products produced by Netshine Software Limited.
• The affiliate programme does not constitute any form of joint venture, employment, or sub-contracting.
• This agreement may be cancelled at any time by either party without notice. Upon termination of the agreement, the affiliate must remove all materials that relate to this programme from their website.
• Anyone who breaks any of these terms and conditions may forfeit any commission they may have earned, and may have their membership revoked.
• The decision to revoke membership or withold commission (for ANY reason) rests entirely at the discretion of the programme manager.
• Whilst Netshine Software Limited undertakes to pay commission to affiliates who refer customers in accordance with this agreement, ALL payments made are at the sole discretion of the programme manager. Payment of commission may be witheld if deemed appropriate by the programme manager. Netshine Software Limited does not guarantee that you will receive any particular payment even if you abide by the terms of the agreement.
• Where commission earned within a month does not reach the threshold defined by the programme manager, the commission will be held over until such time as it reaches the threshold. Commission payments will only be made to those affiliates whose total earnings under the scheme meet or exceed the defined threshold.
• The payment threshold may be revised from time to time at the discretion of the programme manager.
• These terms and conditions may be revised from time to time by the programme manager. When changes are made, we may attempt to inform affiliates of the changes. Where notification of a change has been served, an affiliate is deemed to have accepted the change unless they cancel the agreement and cease to be a registered affiliate within 1 day of the notification. Where notification is not served, or where it is served but not received, affiliates will be deemed to have accepted the change if they do not cancel their affiliate registration within 1 calendar month of the change being made. You therefore undertake to check for changes to the terms and conditions each month, or to accept changes by default.
• Netshine Software Limited will not be held responsible for any loss or damage that may occur as a result of running this affiliate programme.
• Netshine Software Limited uses a 3rd party affliate tracking application (Post Affliate Pro) to handle tracking and administration. Netshine Software Limited will not be held responsible for any bugs, errors, or mis-configuration in any part of this application.
• If you are registered for VAT (or its equivalent) in any EU country, you must provide your VAT number (or equivalent) when you apply to join the programme.
• Links provided for affiliate usage include one or more identification numbers to allow tracking of sales. If you modify your link in any way or fail to include the relevant identification numbers, you will not receive any commission on referrals made using that link.
• Our affiliate tracking application uses cookies to track whether a sale is made following your referral. If the user disables or deletes cookies, it might not be possible to track a referral, in which case no commission payment can be made.
• This affiliate programme may be withdrawn or cancelled by the programme manager either temporarily or permanently at any time without notice.
• Affiliates agree to indemnify Netshine Software Limited against any loss or damage that may result from the affiliate's participation in the scheme.
• The format or construction of affiliate links and banners may change at any time without notice. You should periodically check that you are still using the correct, up-to-date links and/or banners. If a link or banner that you are using becomes obsolete, you might not earn any commission for referrals made through such links or banners.
• These terms and conditions will apply from the date your affiliate application is accepted.
• Rates of commission are set by the programme manager, and may change at any time without notice.
• Any dispute arising from this agreement will be settled in the courts of England and Wales.
• If any point in these terms and conditions is deemed invalid, illegal, or unenforceable for any reason whatsoever, the remainder of the terms will remain in force and will not be invalidated for this reason alone.
